UK PRACTICE AGREEMENT & TERMS OF BUSINESS

Terms of Service

These terms govern your subscription to the NoChase automated document collection and client communication platform, designed specifically for UK accounting, bookkeeping, and tax practices.

1. Agreement to Terms & Definitions

These Terms of Service ("Terms") constitute a legally binding agreement between NoChase Technologies Ltd ("NoChase", "we", "us", or "our") and the subscribing practice, firm, or individual professional ("Subscriber", "Practice", or "You"). By creating an account or accessing our services, you confirm that you have read, understood, and agreed to these Terms on behalf of your practice.

Your clients who submit records through our zero-login upload portals are referred to as "End Users" or "Clients".

2. Description of Services & Licence

NoChase provides cloud-based software for itemised document request creation, AI Form Generation, multi-channel reminder cadences (Email, SMS, WhatsApp), secure file uploads, and cloud storage write-back (Google Drive, OneDrive, Xero).

Subject to these Terms and active subscription payments, NoChase grants the Practice a non-exclusive, non-transferable, revocable licence to access and use the platform solely for internal professional accounting, tax, or business advisory operations.

3. Practice Responsibility & HMRC Statutory Independence

NoChase is a software workflow technology provider. NoChase does not provide accounting, tax, auditing, or legal advice. The Practice maintains sole and absolute professional responsibility for:

  • Statutory Deadlines: Meeting all HMRC and Companies House statutory filing deadlines (including SA100, VAT returns, CT600, Confirmation Statements).
  • Document Verification: Inspecting and validating all client-submitted financial records, receipts, and identity documents for regulatory compliance.
  • Client Communications: Ensuring all reminders and chasers dispatched to clients comply with the Privacy and Electronic Communications Regulations (PECR).

4. Client Data Ownership & UK GDPR Compliance

Under UK GDPR and the Data Protection Act 2018, the Practice acts as the Data Controller, and NoChase acts strictly as a Data Processor.

  • Ownership: The Practice retains 100% proprietary ownership of all uploaded client documents, tax proofs, and client contact information. NoChase will never sell, lease, or monetize your client data.
  • UK & EU Data Residency: All file storage, databases, and backup repositories are hosted in UK and EU-West regions.
  • Security: Files are protected with TLS 1.3 transit encryption, AES-256 rest encryption, and real-time ClamAV antivirus scanning prior to final storage.

5. Free Trials, Subscriptions & Billing

NoChase offers a 14-day free trial on selected subscription plans. Unless cancelled prior to trial conclusion, the payment method provided upon upgrade will be billed according to your selected plan (Starter, Professional, or Practice Enterprise).

Subscriptions renew automatically on a monthly or annual cadence. You may cancel your subscription at any time via the Practice Billing dashboard. Cancellations take effect at the conclusion of the current prepaid billing period.

6. Fair Use & Acceptable Behaviour

Practices must not use NoChase to:

  • Transmit unsolicited marketing messages (spam) or communications contrary to PECR.
  • Upload malicious code, viruses, or unlawful content.
  • Circumvent or attempt to reverse-engineer our zero-login security tokens or rate-limiting safeguards.

7. Service Availability & Uptime

We strive to maintain a 99.9% uptime target for our core application and client upload portals. Maintenance windows are scheduled during off-peak UK hours whenever possible. Status updates and incident histories are published publicly at /status.

8. Limitation of Liability

To the maximum extent permitted by English law, NoChase shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or goodwill arising out of your use of the platform.

Our total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by the Practice to NoChase during the twelve (12) months preceding the incident giving rise to liability.

9. Governing Law & Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
